Boutique Program Policy and Agreement
Effective Date: September 9, 2025
(Consultant Program)
Purpose. This policy enables eligible Independent Consultants (Sipologists) to place approved Sipology products into small boutiques and local retail stores while protecting brand integrity, regulatory compliance, and channel strategy.
1) Program Overview

Channel scope: Independently owned boutique shops and select local retail/service establishments such as those in the Boutique Example List (Annex A) approved only by Sipology.

Exclusions: Regional/national chains, Natural Health Food Stores, stores with complex management. Online marketplaces (Amazon, Etsy, eBay, Walmart.com, etc.) and third‑party websites are prohibited unless explicitly authorized.

Eligible products: Only items on the Boutique Eligible Product List (Annex B). Additional products will be added as we grow.

How it works: Consultant identifies an approved boutique, submits an order via our Sipology Boutique Portal. If a store requires approval, the consultant must request approval and that store will be added to the Portal. Orders are COD (credit card required); no credit terms may be provided.
2) Independent Consultant Status

Consultants are independent business owners—not employees or agents of Sipology.

Consultants are responsible for their own taxes, insurance, and business practices, and must comply with applicable laws and all Sipology policie
3) Eligibility Requirements

Good standing with Sipology and consistent business activity.

Minimum 500 Personal Volume (PV) per month for 3 consecutive months prior to application to the Boutique Program.

Minimum of 100 Personal Volume (PV) every month while in the program.

Subscription to Online Business Services (OBS).
-
Agreement to all terms herein, including MAP (minimum approved pricing), branding/asset use, and compliance.
4) Approval & Store Assignment
-
Submission of store for approval must be accompanied with a paid Minimum Order using the Boutique Portal prior to authorization per location.

Sipology will verify suitability (brand alignment, regulatory fit, potential channel conflict) and may request additional documentation prior to approval and shipping the order.

Sipology may decline or withdraw approval and order request at any time to protect brand and channel strategy. A refund will be provided if approval is declined.

Store assignment is recorded in the portal and used for commission calculation.
5) Ordering, Payment & Terms

Ordering portal: Approved stores are set up in Sipology’s Boutique Portal. The consultant is listed as the assigned rep.

Payment: COD—a valid credit card is required in the portal before release of goods.
-
Credit terms may only be considered at Sipology’s discretion (trade references may be requested).

Order minimums: $450 per order outside of Ontario for all initial and reorders.

Fulfillment: Sipology ships direct to the retailer. Consultants do not hold or resell Sipology inventory for this program. No product will be shipped to a residential address.

Shipping applies at 10% total order value.
6) Commission & Pricing
-
Commission: Consultants earn 20% on net wholesale sales to their assigned, approved locations, including reorders (provided consultant eligibility remains in effect and the store is still assigned).

When paid: Commissions are calculated on collected/cleared funds (excluding taxes, shipping and discounts) and paid on the standard payout cycle published by Sipology.

MAP: Minimum Advertised Price applies. No unauthorized discounts or promotions. Boutiques must price following Sipology guidance and any applicable MAP policies.

No channel arbitrage: Consultants may not sell or divert Sipology products to unapproved channels, banners, or marketplaces.
7) Reorder Stewardship & Commission Eligibility

30–45 day follow‑up (required): After the initial order ships, the Consultant must visit the store between day 30 and day 45 to review inventory, collect feedback, and secure a reorder where appropriate.

Status note to Head Office: If no reorder is needed, the Consultant must log a note to Head Office (via email) by day 45 confirming the store’s status.

Following the initial 45-day follow-up window, a reorder is expected. If no reorder is placed after the first 45 days, a grace period of an additional 45 days will commence. If no order is received within this 90-day total period, the store will be removed from the Consultant’s assigned list, and any future commissions from that store will no longer be attributed to the Consultant.

HO escalation: If Head Office does not receive a reorder or a “no order needed” note by day 45, Head Office may contact the store directly to protect service levels.

Commission on HO‑taken orders: If a reorder was required and Head Office secures the order due to missed follow‑up, no commission will be paid to the Consultant for that order.

Sell‑through support: Consultants are responsible for providing samples, training materials, and basic merchandising (using approved assets) to increase weekly unit velocity. Higher weekly sell‑through increases commission earnings.

Condition of eligibility: Adherence to this section is a condition of ongoing commission eligibility for assigned boutique accounts.
Approved assets only: All signage, shelf talkers, displays, and digital uses must use official brand assets and prior approvals where required.

Packaging integrity: Packaging must not be tampered with, relabeled or repackaged. No splitting sets or bundling with other brands.

Education: Consultants may provide brand education and product knowledge using approved materials only.
8) Product Eligibility & Regulatory Compliance

Only products listed on Annex B: Boutique Eligible Product List may be placed.
9) Quality, Freshness & Customer Care
-
Only orders shipped directly from Head Office are eligible for commissions.

Retail issues (damage, defects) must follow Sipology’s returns/RMA processes.

Consultants act as first point of contact for boutique service issues and escalate to Sipology using support@sipology.com
10) Recordkeeping & Audits
-
Consultants must maintain accurate records of outreach, approvals, and store activity and provide updates upon request.

Sipology may audit records, inspect placements, or request documentation at any time.
11) Prohibited Channels & Practices
-
No sales via online marketplaces (Amazon, Etsy, eBay, Walmart.com, etc.) by Sipologists.
-
No sales via the boutique’s website or third‑party sites without explicit company approval.
-
No unauthorized coupons, claim language, or cross‑promotions that violate MAP/regulatory standards.
12) Compliance & Enforcement
-
Violations (eligibility, product, pricing/MAP, channel scope, branding, or regulatory) may result in loss of program privileges, commission forfeiture on non‑compliant orders, and/or deactivation of Sipologist status.

Sipology reserves the right to interpret, amend, or enforce this policy as business or regulatory needs dictate.

Annex C - Boutique Placement Application & Approval Form
Boutique Program Participation Agreement
This Agreement ("Agreement") is entered into by and between Sipology, a division of Steeped Tea Inc., and the undersigned Independent Consultant ("Consultant"), effective as of the date of signature below.
By signing this Agreement, the Consultant acknowledges and agrees to the terms outlined in the Small Boutique & Retail Placement Policy — Consultant Program, including all annexes referenced therein.
1. Acknowledgment & Acceptance
The Consultant confirms that they:
- Have read and understood the full Sipology Boutique Program Policy.
- Meet the eligibility requirements as outlined in Section 3.
- Will comply with all terms, including but not limited to product placement, branding, MAP pricing, reorder stewardship, and regulatory compliance.
2. Independent Status
The Consultant acknowledges their status as an independent business owner and not an employee, agent, or representative of Sipology.
3. Compliance & Enforcement
The Consultant understands that:
- Non-compliance may result in removal from the Boutique Program.
- Violations may lead to forfeiture of commissions and/or deactivation of Consultant status.
- Sipology reserves the right to audit, amend, or enforce the policy as needed.
4. Agreement
By completing below, the Consultant agrees to abide by all terms of the Boutique Program Policy and its annexes, and understands that participation is contingent upon ongoing compliance.
